The combination of financial services groups of the two predecessor firms, Stinson Morrison Hecker LLP and Leonard, Street and Deinard, creates a national banking team exceeding 85 attorneys with significant knowledge and experience in virtually all aspects of the financial services industry. The new firm has offices in 14 cities with substantial coverage of the Midwest, a meaningful presence in the Mountain West and Southwest, and an office in Washington, DC.

Our practice group represents hundreds of financial institutions from large national organizations to regional community banks, credit unions, private institutional and asset managers and government entities. We have direct experience at all stages of a financial institution’s life cycle, from structuring and formation through the transactional needs of a mature financial entity. We help lead our clients through operational and legal risk, regulatory matters, corporate and board-level best practices and litigation management. We bring to bear your objectives and counsel appropriately.

Members of our practice group have significant experience representing banks and financial institutions across transactional, regulatory, operations and litigation areas, including:

• Commercial lending
• Bank and holding company M&A
• De novo charters
• Branch sales
• Private equity investments in banks
• Capital raising
• Regulatory and compliance
• Consumer finance
• Payment systems and operations
• Loan workouts and creditors’ remedies
• Securities and finance litigation
• Community banking

Of note, according to SNL Financial’s 2012 U.S. M&A Legal Adviser Rankings, Stinson Morrison Hecker ranked #1 in the United States among bank and thrift legal advisors in both the number of whole bank deals and the number of bank branch deals completed. The firm advised on 14 whole bank transactions and 6 branch transactions that were announced in 2012. The firm’s banking practice has consistently ranked among the top 15 law firms in SNL Financial tables, based on the number of M&A transactions.

As a combined practice group, we will leverage our greater resources and expanded reach to continue representing banks and other financial institutions of all sizes and types, from Fortune 500 corporations to community banks and other emerging financial services businesses.

We look forward to serving your legal needs.
